INDEPENDENT CONTRACTOR AGREEMENT

The Board of Education of Boone County and its authorized representatives (the Board), 69 Avenue B,
Madison, WV 25130, upon the nomination and recommendation of the Director of Exceptional Children,
herewith enters into a contract for the performance of professional physical therapist services with
Douglas P. Cook, PT, 220 Main St., Summersville, WV 26651.

The Parties to this contract mutually agree to the following terms and conditions:

1. The period to this agreement shall be for the 2024-2025 school year only.

2. This agreement shall terminate at the end of the designated school year or it
may be terminated at any time with 30 days advanced written notice by either party.

3. This agreement is for the provision of professional physical therapist services to students
identified by the Department of Exceptional Children, and with appropriate referral, including
physician referral for initial physical therapy evaluation. Duties, assignments, caseloads,
scheduling, supervision, and all other matters that may arise relating to the provision of said
services to be determined by documented mutual agreement of both parties, preferably
documented by e-mail communications, or by other written means.

4. This agreement only includes the provision of professional physical therapist
services to identified students and does not include any physical therapy related supplies,
therapy equipment, goods, assessment or evaluation tools, curriculums, remote therapy

platforms/equipment, or facilities that may be necessary or incidental to the provision of
professional Physical Therapist services for the Board.

5. The Board shall compensate Douglas P. Cook, PT at the flat rate of $880.00 per week
for time and expenses incidental to the provision of professional physical therapist services
for the Board per school week during which physical therapist services are rendered to a
caseload of identified students according to the terms of this agreement (no PT services will
be rendered or billed during the weeklong breaks in the school calendar). This includes all
elements of physical therapist evaluation & treatment, management, direct and indirect
service time, consultation time, supervision, meeting time, documentation and
communication time, continuing education and training time, travel time, and any other time
incurred for the provision of, and time incidental to the provision of, professional physical
therapist services for the Board per school week during which physical therapist services
are rendered to a caseload of identified students according to the terms of this agreement.

6. Travel expenses incidental to the provision of said services shall not be billed separately to
the Board.

7. Douglas P. Cook, PT will submit a monthly invoice by e-mail to the Board for services
rendered during the prior month with payment due net 30 days.
