REAL ESTATE PURCHASE CONTRACT

THIS AGREEMENT, made this_ Z| __ day of [WAZ Cut 20.2 , by and between

their successors, heirs or assigns,

(hereinafter “Purchaser”).

NOW, THEREFORE, WITNESSETH, that for and in consideration of the covenants and agreements herein
contained, it is agreed between the parties hereto as follows:

1. SALE: Seller hereby agrees to sell, grant, and convey, with covenants of Ove2acwarranty, free and
clear of all liens and monetary encumbrances, and Purchaser hereby agrees to purchase and take all of Seller's right, title,
and interest in and to all of the real estate, together with all buildings and improvements thereon and appurtenances
thereunto belonging (choose one) INCLUDING any and alt coal, oil, gas, minerals and all subsurface strata
and rights, including rights of extraction; EXCEPTING AND RESERVING to the Seller, its heirs, successors
and assigns, all coal, oil, gas, minerals and all subsurface strata and rights, including rights of extraction., assessed on
the 20 Land Books of __ VA ZAD N County, VAY 5

of, ; and being more particularly
described on Exhibit A (the “Premises”), which was listed for sale with Joe R. Pyle Complete Auction & Realty Service
(the “Broker”)

This sale and conveyance shall be and is subject to the following: (a) any discrepancies, conflicts in boundary
lines, shortage/overage in area, encroachments, or any other state of facts an accurate survey may disclose; (b) any
state of facts which could be ascertained by an inspection of the Premises or by making inquiry of persons in possession
thereof: (c) all exceptions, reservations, covenants, conditions, restrictions, and easements contained in prior
instruments of record pertaining to the Premises; and (d) any facts shown by public records.

2. PURCHASE PRICE: The aggregate purchase price for the Premises (the “Purchase Price”) shall be:

The Purchase Price shall be payable as follows:

3. PURCHASER'S DEFAULT: If Purchaser defaults in Purchaser's performance of the terms and
conditions of this Agreement, Seller shall be entitled to the Earnest Money Deposit held by Broker pursuant to this
Agreement, less sales commission, buyer’s premium, advertising fees and sale expenses due Broker; provided, however,
the receipt by Seller of the Earnest Money Deposit shall not be Seller’s exclusive remedy hereunder but

rather shall be cumulative only, and Seller shall be entitled to al! other remedies permitted by law. The term "defau!t"
shall include, but not necessarily be limited to, the failure or refusal of Purchaser, for any reason whatsoever, to do
any of the following: (a) make any payment al the time and in the manner herein provided; (b) execute, acknowledge,
or deliver any and all instruments or documents deemed necessary by Seller for the completion of the transaction
herein contemplated; (c) give any notice required by this Agreement in the manner herein provided; or, (d) close the
sale of the Premises herein contemplated at the time and place and in the manner herein provided.

4. SELLER'S DEFAULT: [f Seller fails or refuses to convey title to Purchaser in compliance with the
terms and conditions of this Agreement, or should Seller be unable to convey title upon the terms set out in this
Agreement, and such failure or refusal is not due to the fault of Purchaser, Broker shall return to Purchaser the Earnest
Money Deposit held by Broker pursuant to this Agreement; and upon such return of the Earnest Money Deposit, this
Agreement shall be nult and void, and neither party hereto shall have any further obligation or liability under this
Agreement.

5. DELIVERY OF DEED AND POSSE SION: The closing date of this transaction (“Date of
Closing”) shail be on or before , at such time and place
mutually agreed to by the parties hereto. On the Date of ei the Seller shall deliver to Purchaser a good and
sufficient deed for the Premises containing covenants of (,Gn¢la.___ warranty, in recordable form and with all
transfer tax stamps affixed, and the Purchaser shall pay to Seller the remaining balance of the Purchase Price provided
for hereinabove in Paragraph No. 2 of this Agreement. TIME IS OF THE ESSENCE, AND THE TIME OF CLOSING
SHALL BE STRICTLY CONSTRUED AND ENFORCED.

Seller shall deliver possession of the Premises unto the Purchaser on the Date of Closing.

6, REAL ESTATE TAXES, FEES AND ASSESSMENTS: Ail real estate taxes, charges, municipal
service fees or other assessments levied or assessed against the Premises shall be prorated between the parties on a
calendar year (January 1 to December 31) basis, as of the Date of Closing. If the taxes are not known or cannot be
teasonably estimated, taxes shall be prorated based on taxes for the year prior to Closing. Any additional taxes related
to the year of Closing or prior years arising out of a change in the use of the Premises by the Purchaser, or a change
in ownership shall be assumed by Purchaser effective as of Closing and paid by the Purchaser when due and payable,
and Purchaser shall indemnify Seller from and against any and all such taxes, which indemnification shall survive the
Closing.

7, RENTS: All rentals paid by current tenants occupying all or any portion of the Premises for the
month in which the Date of Closing occurs shall be prorated between the parties. Al} security deposits paid by any
such tenants to Seller shall be delivered to Purchaser on the Date of Closing.

8. ADJUSTMENTS/PAYMENT OF CLOSING COSTS: Seller agrees to pay for preparation of the
deed of conveyance and one half of state and county excise taxes on the privilege of transferring realty (document
stamps). Purchaser agrees to pay for examination of title, survey, one half of state and county excise taxes on the
privilege of transferring realty (document stamps), and any other costs in connection with the procurement of purchase
money, including the preparation of necessary instruments such as deeds of trust, if any, and all recording fees incurred
pursuant to the transfer of title. Except as otherwise herein expressly stated, all closing costs shall be paid by the
appropriate party in accordance with the local practice in the county in which the Premises ts located.

9. CONDITION, OF PREMISES: Purchaser has carefully inspected the Premises and the
improvements thereon and accepts the same in their present physical condition, AS 18, WHERE IS, WITH ALL
FAULTS. Neither Seller nor Broker, as agent for Seller, shall be liable for any representations or warranties respecting
the physical condition, size, or characteristics of the Premises, and unless provided

for in this Agreement, Seller is not bound to make any changes, add any improvements, or repair any defects in the
Premises. Unless otherwise provided for in this Agreement, no fixtures shall be removed from the Premises by the
Seller. The Premises shall be delivered to the Purchaser in substantially as good a condition as it was on the date of
entering into this Agreement, except for usual wear, tear, and loss.

10. F AN RIN : This agreement is

NOT contingent upon the Purchaser obtaining financing. If Purchaser desires, or Purchaser’s lender requires, any
inspections, including but not limited to: survey, environmental, structural, well, septic, or pest/termite or to
determine whether the Premises consists of wetlands, is subject to land use or zoning restrictions or has any required
occupancy pennits, Purchaser shall have the non-exclusive right upon prior reasonable notice to Seller to reasonable
entry upon the Premises by such means of ingress as are currently available and to conduct such non-destructive
and non-hazardous inspections, tests, and surveys as Purchaser may deem appropriate, at Purchaser’s sole cost and
risk. Purchaser shall be solely responsible for any and all costs associated with such inspections, tests or surveys
and any remedies Purchaser or Purchaser’s lender may request because of any inspections performed. The result
of any inspections, tests or surveys shall not be a contingency to Purchaser's obligation to purchase the Premises.

11. LA] LE D
11.1 Disclaimer By Seller; Purchaser understands, acknowledges and agrees that, except as specifically

provided in this agreement, Seller has not at any time made and is not now making, and Seller specifically disclaims,

any warranties or representations of any kind or character, express or implied, with respect to the premises,

including, but not limited to, warranties or representations as to (i) matters of title,
(ii) environmental matters relating to the premises or any portion thereof, including, without limitation, the presence
of hazardous materials in, on, under ot in the vicinity of the premises, (iii) geological conditions, including, without
limitation, subsidence, subsurface conditions, water table, underground water reservoirs, limitations regarding the
withdrawal of water, and geologic faults and the resulting damage of past and/or future faulting, (iv) whether, and
to the extent to which the premises or any portion thereof is affected by any stream (surface or underground), body
of water, wetlands, flood prone area, flood plain, floodway or special flood hazard, (v) drainage, (vi) soil conditions,
including the existence of instability, past soil repairs, soil additions or conditions of soil fill, or susceptibility to
landslides, or the sufficiency of any undershoring, (vii) the presence of endangered species or any environmentally
sensitive or protected areas, (viii) zoning or building entitlements to which the premises or any portion thereof may
be subject,

(ix) the availability of any utilities to the premises or any portion thereof including, without limitation, water,
sewage, gas and electric, (x) usages of adjoining premises, (xi) access to the premises or any portion thereof,
(xii) the value, compliance with the plans and specifications, size, location, age, use, design, quality, description,
suitability, structural integrity, operation, title to, or physical or financial condition of the premises or any portion
thereof, or any income, expenses, charges, liens, encumbrances, rights or claims on or affecting or pertaining to the
premises or any part thereof, (xiii) the condition or use of the premises or compliance of the premises with any
declarations or covenants of record or any past, present or future federal, state or local ordinances, rules, regulations
or laws, building, fire or zoning ordinances, codes or other similar laws,

(xiv) the existence or non-existence of underground storage tanks, surface impoundments, or landfills, (xv) the
merchantability of the premises or fitness of the premises for any particular purpose, (xvi) the truth, accuracy or
completeness of the premises documents, (xvii) tax consequences, or (xviii) any other matter or thing with respect
to the premises.

11.2 Sale" Wh " Purchaser acknowledges and agrees that upon closing, Seller shall seil
and convey to Purchaser and Purchaser shall accept the premises "as is, where is, with all faults," Purchaser has
not relied and wili not rely on, and Seller has not made and is not liable for or bound by, any express or implied
warranties, guarantees, statements, representations or information pertaining to the premises or relating thereto
made or furnished by Seller or any real estate broker, agent or third party representing or purporting to represent
Seller, to whomever made or given, directly or indirectly, orally or in writing. Purchaser represents that it is a
knowledgeable, experienced and sophisticated Purchaser of real estate and that, except as expressly set forth in this
agreement, it is relying solely on its own expertise and that of Purchaser's consultants in purchasing the premises

and shall make anj endent verification of the accuracy of any mepts and information provided by Seller.

Purchaser will conduct such inspections and investigations of the premises as Purchaser deems necessary,
including, but not limited to, the physical and environmental conditions thereof, and shall rely upon same.
Purchaser acknowledges that Seller has afforded Purchaser a full opportunity to conduct such investigations of the
premises as Purchaser deemed necessary to satisfy itself'as to the condition of the premises and the existence or
non-existence or curative action to be taken withrespect to any hazardous materials on or discharged from the
premises, and will rely solely upon same and not upon any information provided by or on behalf of Seller or its
agents or employees with respect thereto, other than such representations, warranties and covenants of Seller as are
expressly set forth in this agreement. Upon closing, Purchaser shall assume the risk that adverse matters,
including, but not limited to, adverse physical or construction defects or adverse environmental, health or safety
conditions, may have not been revealed by Purchaser's inspections and investigations.

11.3 Survival. The terms and conditions of this article shall expressly Survive the closing and shall not
merge with the provisions of any closing documents or the deed. Purchaser acknowledges and agrees that the
disclaimers and other agreements set forth herein are an integral part of this agreement and that Seller would not
have agreed to sell the premises to Purchaser for the purchase price without the disclaimers and other agreements set
forth above.

12 BROKER RELEASE: it is understood and agreed that Broker is acting as an agent for the Seller only
and shall in no case whatsoever be held liable by either party for the performance of any term or covenant of this
agreement or for damages for non-performance thereof.

13 ADDRESSES, NOTICES, ETC:: All deliveries, notices, demands, instructions, requests or other
communications which are required or contemplated by this Agreement shall be in writing and shall be deemed to
have been properly given if and when sent by certified mail, return receipt requested, postage prepaid, addressed
as follows:

4 AMENDMENTS, MODIFICATIONS, ETC.: No amendments, modifications, assignments, or
alterations of the terms or conditions of this Agreement shall be binding upon the parties hereto unless the same
shall be in writing and signed by the party against whom enforcement is sought.

15 INTEGRATION: This Agreement constitutes the only and entire agreement between the parties
hereto pertaining to the subject matter hereof and supersedes all prior and contemporaneous discussions and
understandings of the parties in connection therewith. Any covenant, representation, or condition not expressed
herein shal! not be binding upon the parties hereto and shall! not affect or be effective to interpret, alter, modtfy,
change or restrict the terms and conditions of this Agreement.

16 AGREEMENT BINDING ON HEIRS, ETC.: This Agreement shall be binding upon the
respective heirs, executors, administrators, successors and assigns of the parties hereto.

TERMS AND CONDITIONS

1. Contractor will perform the services (“Services”) set forth in the attached proposal ("Proposat’).

2. Contractor will perform the Services during normal working hours, Monday through Friday, from 7:00 AM to 3:00 PM, unless specified otherwise in writing by Contractor. If Gustomer
requests that Contractor provide Services on an expedited basis and/or outside normal working hours, Customer shall pay all additional charges for freight, labor, or materials according to
Contractor's established rates and fees,

3. If Contractor datermines that other work beyond the Servicas is required, such work shall not constitute a part of the Services, and Contractor will provide Customer with a quotation for
such work,

4, Customer agrees to (i) provide safe and reasonable access, and any other assistance as Is reasonably necessary, so that Contractor can perform the Services and (i) ramove and
replacevrefinish any part of the work site that must be disturbed so Contractor can perform the Services,

5, Contractor shall not perform any service that concems hazardous materials, and shall have no responsibility for remediation, accumulation, storage, transportation, or disposal of any
hazardous materials generated by Customer or present at the work site.

8. Contractor shall not be required to perform any Services where hazardous materials are present or where Contractor suspects the presence of hazardous materials, and Contractor
immediately may stop providing Services In either instance and notify Customer of the circumstance giving rise to the stoppage.

7, Customer agrees to pay Contractor the ump sum or time and materials rates get forth in the Proposal, and all excise, sales, use, occupation, or other similar taxes connected with
Contractor's performance of the Servicas.

6. Customer's payment Is due net 30 days from date of invoice, and late payment to Contractor shall ba subject to interest at the rate of one and one-half percent (1% %) per month, not to
exceed tha maximum amount allowed by applicable law. Contractor may cease providing Services, including warranty services, if Customer fails to make any payment that is due and
owing.

93, Materials provided will be free from defects for one (1) yaar from the date of the Services or to the extent of the manufacturer's warranty, whichever the lesser. Workmanship provided will
be good and of a workman-fke standard for sixty (60) days from the date of the Services. During the applicable warranty period, Contractor promptly shail repair or replace, at its sole option
and at its own expense, any defective materials or workmanship during normal working hours (for defective materials, Contractor only will provide (}} warranty coverage to the extent that
Contractor Is able to enforce liability against the manufacturer and (i) necessary labor at Hts own expense for shey (60} days from the date of the Service and during normal working hours).
Customer's aole and exclusive warranty is tha repair or teplacement set forth herein, If Customer requests that Contractor provide warranty services on an expadited basis and/or outside
normal working hours, Customer shall pay all additional charges for freight, labor, or materials according to Contractor's established rales and fees.

10. Contractor's warranty applies only to materials and workmanship furmished by Contractor. Contractor's warranty shall ba null and void if (i) Customer fails properly to operate and
maintain equipment and/or the system for which Services were provided, (li} acts of vandalism or other alterations or modifications occur that affect the equipment and/or the system for
which Services were provided, or (li) Customer subsequently has another contractor provide goods or services that affact to the Services.

11, Contractor shall not be Hable for any delay, or loss or damage arising therefrom, and shall be entitled to additional time for the Services, if the delay is caused by an occurrence beyond
the reasonable control of Contractor.

12. Contractor is not responsible for equipment and/or system design deficiencies, obsolete equipment or ayatems, equipment or systems beyond serviceable life, or electrical faitures, and
Customer shall remain obligated to pay for Services if the Proposal properly was performed but the Services do nat remedy the condition giving rise to the Proposal because of the
foragoing.

13. Contractor shall not be liable for operation of any equipment or system, nor for injury to person or damage to property, except to the extent such injury or damage is caused by the
negligent acts or omissions of Contractor, and only to the proportionate extent of Contractor's negligence.

14. Under no circumstances, whether arising out of contract, tort (including nagligence), strict lability, warranty or otherwise, shail either party be liable to the other for special, indirect,
locidental, consequential, axemplary, of punitive damages of any nature.

15. In no event shall Contractor's aggregate liability to Customer exceed an amount that is the lesser of {J} the amount of the Proposal or (8) the cost to Contractor to repair or replace the
tem giving rise to the claim.

16. This Proposal shall ba govemed by the laws of the State where the Services are performed, without giving effect to its conflict of laws provisions. Any action conceming the subject
matter of this Proposal shall ba commenced in the State court of such State, which shalt have exclusive jurisdiction over such action. Any such action shall be submitted TO THE COURT
ONLY for resolution, WITHOUT TRIAL TO A JURY. THE PARTIES HEREBY WAIVE ANY RIGHT TO A JURY TRIAL REGARDING ANY SUCH ACTION.

17, Contractor shail be entitled to all fees and costs, including reasonable attomey’s fees, incurred by it in any action to collact amounts due to it from Customer,

18. By signing the Proposal, Customer authorizes Contractor to perform the Services and agrees ta these Terms and Conditions and those set forth in the Proposal. Customer further
agrees that the Proposal and these Terms and Conditions constitute the parlies’ entire agroement, and any other documents generated or provided by Customer are intended only to create
payment authority for Customer's internal purposes. No such Customer documents shall form a part of this agreement, of constitute a counteroffer, amendment, modification, or revision,
and hereby are rejected by Contractor.

19. This proposal Is made contingent upon the work addressed herein not being adversely affected, either directly or indirectly, by the COVID-19 pandemic and/or the Corona
virus, and Is further conditioned upon the parties agreeing, prior to beginning of any wark and in writing as part of any contract, that any (i} schedule issues {including, but not
limited to, delays, access Issues, or allowed work hours/off-hours work), (Il) overtime hours, or (Ili) additional protocols, altered working conditions, or extra costs relating
thereto, that arise as 4 result of the COVID-19 pandemic or Carona virus will entitle contractor to an equitable adjustment for time for performance and costs.

2024 Math Textbook Adoption Selection Process
All Marion County Math Teachers in grades 5-12 were provided the option to

participate in a Math Cadre. The Math Cadre began work in August. The Cadre met

monthly, created a Google Classroom where Math Standards were explored, and

employed the standards to select a textbook that based upon standard alignment,

would best support our students in our county's pursuit to raising proficiency in Math

scores and applicable knowledge post-secondary schooling. Math Cadre members

attended a Vendor Caravan, where all vendors who were approved by the WVDE were

present with their textbooks and supplemental resources. Math Cadre members selected

their top 2 vendors for a more in-depth presentation at the County Office. |

Math Cadre members cast votes to select the vendor.

These sessions are designed to provide ongoing support for teachers after they
have started using the program. Big Ideas Learning representatives and district
leaders will work together to identify areas of focus, which may include:

Lesson Design: A deeper dive into the key elements of a lesson,
pacing, and tools for effective delivery

Assessment: How to use Big Ideas Learning resources to get feedback
on where students are in their learning and how to use that data to
drive instructional decisions.

Support for All Learners: Explore resources and strategies for
differentiating Instruction for all learners and ways to enrich and
extend or provide interventions beyond the lesson

Office Hours

Participants: Classroom Teachers, Instructional Coaches, Support Staff

Office hours with a Big Ideas Learning Consultant provide a flexible time for
teachers to drop in, get their questions answered, and receive just-in-time support
for using thelr program resources.

On-Demand Program Support

Teachers can get support with using Big Ideas resources through our on-demand
video library. Topics range from how to use the online platform to plan, teach, and
assess, to Pedagogical Approach, and Concepts and Tools.

2024 Math Textbook Adoption Selection Process
All Marion County Math Teachers in grades 5-12 were provided the option to

Participate in a Math Cadre. The Math Cadre began work in August. The Cadre met
monthly, created a Google Classroom where Math Standards were explored, and
employed the standards to select a textbook that based upon standard alignment,
would best support our students in our county's pursuit to raising proficiency in Math
scores and applicable knowledge post-secondary schooling. Math Cadre members
attended a Vendor Caravan, where all vendors who were approved by the WVDE were
present with their textbooks and supplemental resources. Math Cadre members selected
their top 2 vendors for a more in-depth presentation at the County Office.

Math Cadre members cast votes to select the vendor.

support of our curriculum resources. McGraw Hill's commitment to implementation is grounded in the

Initial implementation training provides equity in understanding of the program.
Administrators and Curriculum Leads as instructional leaders are critical to a successful
implementation.
On-going training should be targeted to identified district goats and needs.

EXECUTIVE PLANNING COMMITTEE: developing a successful partnership.

A successful implementation of McGraw Hill’s Reveal Math begins with an Executive Planning Committee.
Participants may include McGraw Hill curriculum specialists and district representatives who will work
together to outline professional learning goals that align with your district’s vision and initiatives.

PROFESSIONAL LEARNING SESSIONS: from foundations to enhanced knowledge and practice.
Our professional learning sessions are designed to provide an understanding of the philosophy, goals,
and organization of Reveal Math and how McGraw Hill’s resources will work in your classrooms.

PHASE 1: On-boarding, Foundational Training

Program Implementation — Virtual, On-site, or Self-paced Videos

The goal of these sessions is to ensure teachers are provided the knowledge and skills to begin
using Reveal Math immediately in their classroom including an exploration of our comprehensive
print and digital features. This is divided into two sessions that can be offered virtually for 90
minutes each or combined for a three-hour on-site session. These sessions should be organized
by the following grade bands: K-5, 6-8, 9-12, or 6-12 only. Grade-level specific sessions will be
offered based on availability.

Below are the descriptions and participant goals for each program implementation session.

Reveal Math 101 Implementation Training (1.5 hours)

During this 90-minute interactive session, teachers will be introduced
to the pedagogical foundations of Reveal Math through purposeful
navigation of instruction using our print and digital resources.
Teachers will experience the rich instructional resources at the unit
and lesson level, explore various tiered resources for impactful
differentiation, and engage in an introduction to Reveal Math’s
dynamic digital resources. The goal of this session is to ensure
teachers are provided the knowledge and skills to begin using the
resources immediately in their classroom. |

Reveal Math 102 Implementation Training* (1.5 hours)

This 90-minute interactive session is a continuation of the Reveal Math

101 Implementation Training. Teachers will experience a deeper dive

into Reveal Math’s dynamic digital resources and discover the wide

array of assessments for formative and summative progress
| monitoring. The goal of this session is to ensure teachers can

effectively and efficiently integrate Reveal Math’s digital resources into

their classroom and make impactful data-driven instructional decisions

based on the wide array of assessment opportunities.

Self-paced Professional Learning Videos
The McGraw Hill platform includes professional learning videos demonstrating implementation of lesson
components and instructional strategies.

Instructional Coach: Capacity-building Training — Virtual or On-site (3-6 hours)

Building instructional capacity through District/Campus Instructional Coaches can be key to
implementation fidelity and teacher success. Coaches would participate in the Reveal Math 101
and 102 Implementation Trainings as noted above. By the end of this session, Instructional
Coaches would be able to:

e Support classroom teachers with implementation of the Reveal Math lesson
structure/pathways and planning options through a deeper dive into print and digital
resources to teachers.

Topics may include a program overview, deeper dive into assessment and data reporting,
program professional development resources, and how to support teachers during PLCs.

Campus-level Administrator Training — Virtual (45-90 min.)
This initial overview for administrators is designed to build a high-level understanding of Reveal
Math focusing on key program elements for successful implementations. Administrators will
receive an overview of the data and reporting tools generated through student assessment. By
the end of the session, participants will understand:

# Reveal Math structure and pedagogy.

e Key elements to ensure a successful implementation.

s Data and reporting generated by student assessments.

Follow-up Training — Virtual or Open Live Webinars (45-90 minutes)

After at least four to six weeks after students begin working with Reveal Math, McGraw Hill
encourages districts to survey teachers for follow-up session topics that would support their
classroom needs. The Executive Planning Committee will work to determine the best course of
action for follow-up trainings.

PHASE 2: On-demand Professional Learning

Teachers have access to professional learning resources embedded within their Reveal Math
digital platform, for immediate access to learning opportunities that support instruction in their
classrooms. These resources can be used during PLC or department meetings to understand the
pedagogy and how to implement instructional strategies to create a successful classroom learning
community.

PHASE 3: Mid-year & Year-end Professional Learning Evaluation

Mid-year and year-end meetings can be arranged between McGraw Hill and district leadership to
determine the impact of Reveal Math’s resources to define further professional learning needs
and/or explore the need for adding supplemental/Tier 3 materials to reach targeted populations of
students.

SCHEDULING PARAMETERS
On-site Professional Learning Guidelines

On-site PL sessions with voluntary attendance where no session registration is required be
virtual.

A minimum of eighteen (18) participants must be registered and confirmed no less than ten
(10) business days prior to the scheduled PL date or the session will be virtual.

Multiple on-site sessions must be scheduled on consecutive days with morning and afternoon
sessions i.e., Tue-p.m./Wed-a.m. & p.m. (A non-example is Mon-a.m./Wed-a.m)).

Our recommended ratio of teachers to trainer is 35:1, however larger groups can be

We cannot facilitate teacher planning time.
Gratis on-site sessions are for year-one implementation.

Virtual Professional Learning Guidelines
Session scheduled for less than two hours in a single day will be virtual.

Virtual sessions require a minimum of ten (10) registered participants verified three (3) business
days prior to session date.

Our recommended ratio of teachers to trainer is 35:1, however larger groups can be
accommodated.

Districts should set up the webinar links for each virtual training and send to the Sales Rep.

Follow-up Professional Learning Guidelines

¢ Once gratis on-site initial implementation sessions are expended, follow-up professional
learning sessions will be conducted virtually.

Paid Professional Learning Guidelines

Once gratis on-site and virtual sessions are expended, contact your Sales Rep for paid PL
options.

On-site sessions have a maximum of six (6) hours per day.

Two-hour virtual sessions are available with a maximum of one session in a.m. and one session
in p.m.
Paid PL cannot be prioritized from July 15" through Labor Day.

CANCELLATION POLICY

availability; during the busy spring/summer training season, reschedule date/times may not be available

This Affiliation Agreement made and entered into this 4% day of March, 2024, by and between The
University of Phoenix, Inc., an Arizona for-profit corporation, hereinafter referred to as the “UNIVERSITY”
and Marion County Board of Education, an entity domiciled in the State of West Virginia, hereinafter
referred to as the “SCHOOL.”

I. PURPOSE »

The purpose of this Agreement is to provide education experiences for selected UNIVERSITY
students, hereinafter “STUDENTS”, which take place at the SCHOOL and in which the SCHOOL
will participate.

il. OBLIGATIONS OF THE UNIVERSITY

a The UNIVERSITY will offer educational programs accredited by appropriate
organizations; and will determine standards of education, hours of instruction, learning
experiences, administration, matriculation, promotion, and graduation.

2. The UNIVERSITY will keep all records and reports on STUDENT experiences in
accordance with UNIVERSITY policy and regulatory requirements.

3. The UNIVERSITY will plan with the SCHOOL, in advance, its schedule of STUDENT
assignments to the designated areas, including dates and numbers of STUDENTS.

4, The UNIVERSITY agrees to inform STUDENTS that STUDENTS shall be responsible
for following the rules and regulations of the SCHOOL, including recognition of the
confidential nature of information regarding pupils and their records.

5. The UNIVERSITY will provide to the SCHOOL a copy of course objectives for the
learning experience. The SCHOOL, together with the UNIVERSITY, will make
arrangements for evaluating the learning experience.

6. For STUDENTS enrolled in the UNIVERSITY teacher licensure program, the
UNIVERSITY will assign a Faculty/Site Supervisor who will collaborate with the
SCHOOL’S Cooperating Teacher. For purposes of this Agreement, the term
“Cooperating Teacher” shall be defined as the district educator who has been assigned
to supervise the STUDENT.

For STUDENTS enrolled in The UNIVERSITY principal licensure program, the
UNIVERSITY will assign a Faculty/Site Supervisor who will collaborate with the
SCHOOL'S Mentor. Fer purposes of this Agreement, the term “Mentor” shall be defined
as the district school administrator who has been assigned to supervise the STUDENT.

7, STUDENTS are not employees, agents, subcontractors or representatives of the
UNIVERSITY.

8. To help defray costs associated with the placement of STUDENTS at the SCHOOL, the
UNIVERSITY shall pay compensation in accordance with Exhibit A, attached hereto and
incorporated herein, upon completion of STUDENT'S assignment at the SCHOOL, or at
such other time as the parties agree.

OBLIGATIONS OF THE SCHOOL

1. The SCHOOL shall maintain sole responsibility for the instruction, education and welfare
of its pupils. SCHOOL shall be responsible for providing adequate staffing necessary to
maintain the highest level of quality education for its pupils.

2. The SCHOOL agrees that STUDENTS assigned to it for counseling, administration,
teaching, and/or observation experiences are under the supervision, control, and
responsibility of the SCHOOL.

3. The SCHOOL shall retain the right, in its sole discretion, to request the removal of any
individual from any area of the SCHOOL premises. STUDENTS shall be instructed by
the UNIVERSITY to promptly and without protest leave an area whenever they are
requested to do so by an authorized SCHOOL representative.

4. The SCHOOL shall provide as required by the degree program either qualified
Cooperating Teachers and/or Mentors for STUDENTS. Cooperating Teachers and/or
Mentors will be resource persons for STUDENTS and UNIVERSITY faculty while at the
SCHOOL. Cooperating Teachers and/or Mentors selected by SCHOOL will: a) assist in
orienting STUDENTS to the SCHOOL, the classroom, administrative staff and the pupils;
b) explain all applicable SCHOOL and district policies, rules, and regulations to
STUDENTS; c) provide prompt and substantive feedback to STUDENTS regarding all
performance activities and interactions with SCHOOL personnel, pupils, and parents; d)
complete evaluations of STUDENTS' progress and submit them to the University
Faculty/Site Supervisor, after reviewing them with the applicable STUDENT; e)
immediately inform the University Faculty/Site Supervisor of any concerns regarding a
STUDENT; f} establish a time to meet and discuss with STUDENTS their activities,
impressions, reflections, and suggestions for goals and areas of improvement; g) for
teacher candidates supervise STUDENTS on a daily basis if the Cooperating Teacher
is absent from the classroom for any reason, a certified substitute must be assigned to
the classroom. Under no circumstance can a STUDENT, even if he/she is certified, serve
as the substitute of record during the student teaching experience unless a separate
agreement has been negotiated in writing by the SCHOOL and the UNIVERSITY.

5. The SCHOOL shall provide to UNIVERSITY and STUDENTS the policies and
procedures and other relevant materials to allow STUDENTS to function appropriately
within the SCHOOL.

6. STUDENTS assigned to the SCHOOL shall follow the SCHOOL'S protocols for health
and safety. The SCHOOL will provide necessary emergency medical services to
STUDENTS.

7. The SCHOOL shall permit STUDENTS access to the library facilities/curriculum
laboratories available to their personnel. STUDENTS may not remove materials from
the SCHOOL without appropriate approval.

8. The SCHOOL shall keep confidential and shall not disclose to any person or entity (a)
STUDENT applications; (b) STUDENT health records or reports; and/or (c) any
STUDENT records as defined in the Family Educational Rights and Privacy Act, 20
U.S.C. § 1232g, concerning any STUDENT participating in the education experiences

provided by SCHOOL, unless such disclosure is authorized by the STUDENT or is
ordered by a court of competent jurisdiction. SCHOOL shall adopt and enforce policies
and procedures necessary to protect the confidentiality of STUDENT records as defined
herein.

9. For teacher candidates: STUDENTS shall not be considered employees or agents of the
SCHOOL with the exception of STUDENTS who are current teachers of record and are
approved by the UNIVERSITY and SCHOOL to complete their teaching internship
(clinical practice) in their own classroom.

For principal candidates: STUDENTS shall not be considered employees or agents of
the SCHOOL with the exception of STUDENTS who are current teachers of record
(including teacher leaders, instructional coaches, etc.) and are approved by the
UNIVERSITY and SCHOOL to complete their administrative internship at their school

site.
IV. INDEMNIFICATION
1. Each party (the “Indemnifying Party”) shall indemnify, defend and hold harmless at the

request of the other party (the “Indemnified Party”) from and against any and all claims,
losses, liabilities, costs, and expenses including reasonable attorney's fees, established
by judgment or alternative resolution award, arising from (a) any material breach of this
Agreement or (b) the negligent acts or omissions in the performance of obligations
hereunder by the Indemnifying Party or any employee, agent, or other representative of
the Indemnifying Party.

2. UNIVERSITY and SCHOOL shall provide prompt notification to one another and, to the
extent allowed by law, shall reasonably cooperate with one another in the defense of,
any lawsuits, claims, or threatened claims that pertain to services provided pursuant to
this Agreement.

Vv. INSURANCE

1. UNIVERSITY and SCHOOL each shall maintain, as a minimum, Commercial General
Liability Insurance written on an occurrence basis with insurance companies acceptable
to the other party for limits of not less than $1,000,000 per occurrence and $2,000,000
aggregate, as assurance of its accountability for any such losses, claims, liabilities, or
expenses.

2. Upon written request, a party shall provide the other party with a certificate evidencing
such insurance coverage.

3. Insurance required by UNIVERSITY to be maintained hereunder may be provided under:
{a) an individual policy; (b) a blanket policy or policies which may include other liabilities,
properties and locations of UNIVERSITY or its affiliates; (c) a plan of self-insurance,
provided that UNIVERSITY or any guarantor of UNIVERSITY'S obligations under this
Agreement maintains, during the period of such self-insurance, a net worth of at least
Fifty Million Dollars ($50,000,000); or (d} a combination of any of the foregoing insurance
programs.

REPRESENTATIONS AND WARRANTIES

1. Each party to this Agreement represents and warrants that (i) it has the full power and
authority to enter into this Agreement and te carry out the transactions contemplated
hereby applicable to it; and (ii) it has taken all action necessary to authorize the
execution, delivery and performance of this Agreement, and this Agreement has been
duly executed and delivered to such party.

GENERAL PROVISIONS

1. Neither the SCHOOL nor the UNIVERSITY will discriminate against any person because
of race, color, religion, sex, or national origin, nor discriminate against any STUDENT or
student applicant with a disability pursuant to law as set forth in the Americans with
Disabilities Act.

2. This Agreement is not intended and shall not be construed to create the relationship of
agent, servant, employee, partnership, joint venture or association between the
UNIVERSITY and the SCHOOL and their employees, STUDENTS, or agents, but rather
is an Agreement by and among two independent contractors. Each STUDENT is placed
with the SCHOOL in order to receive educational experience as part of the academic
curriculum; duties performed by a STUDENT are not performed as an employee of the
SCHOOL but rather in fulfillment of the academic requirements of the educational
experience and are performed under direct supervision by SCHOOL personnel. Unless
required under state law, the SCHOOL nor the UNIVERSITY is required to provide
workers’ compensation coverage for the STUDENTS participating in the educational
experience. UNIVERSITY acknowledges that nothing in this Agreement shall be
construed to confer any right upon the UNIVERSITY or UNIVERSITY personnel to
participate in, control, or direct operations at the SCHOOL.

3. The SCHOOL shall timely notify the UNIVERSITY when any UNIVERSITY employee or
STUDENT has been involved in a reported incident and the UNIVERSITY shall have the
opportunity to participate in any on-going investigation and shall have access to any oral
or written reports and any other documentation related to the reported incident.

4. In the event SCHOOL does not agree to the compensation set forth in Exhibit A,
SCHOOL and its employees shall not be entitled to compensation from the UNIVERSITY
for services or actions of benefit to the UNIVERSITY which are part of or related to the
educational program, however, as a professional courtesy, the Cooperating Teacher
and/or Mentor may be entitled to payment of the reasonable and customary honorarium
or, alternatively, may at some campuses have the opportunity to enroll in a UNIVERSITY
course upon completion of the supervisory assignment.

5. This Agreement constitutes the entire agreement as to the rights and obligations of the
parties hereto and supersedes all prior and contemporaneous agreements and
undertaking of the parties pertaining to the referenced subject matter.

6. Amendments to this Agreement may be made at any time, provided, however, that any
amendments, modifications or alterations shall be made only in writing and shall become
effective only upon the written approval of both the UNIVERSITY and the SCHOOL. The
parties may assign this Agreement and any of its rights and/or obligations hereunder
without the consent of the other party.

7. No waiver or breach of any term or provision of this Agreement shall be construed to be,
ner shall be, a waiver of any other breach of this Agreement. No waiver shall be binding
unless in writing signed by the party waiving the breach.

8. In the event that any provision of this Agreement shall be held void, voidable, or
unenforceable, the remaining provisions of this Agreement shall remain in full farce and
effect in accordance with its terms disregarding such unenforceable or invalid provision.

9. This Agreement is not intended to create any rights or interests for any other person or
entity other than the SCHOOL or the UNIVERSITY.

10. This Agreement will be governed by the laws of the State of Arizona and shall in all
respects be interpreted, enforced, and governed by Arizona laws.

DISPUTE RESOLUTION

1. In the event a controversy, claim or dispute (“Dispute”) arising out of or relating to this
Agreement arises between the Parties, either Party may request by notice to the other
Party that the dispute be escalated to the Parties’ respective senior management
personnel. Upon request, each Party's respective senior management personnel will
conference by telephone or in person with the other Party's senior management
personne! within a reasonable period of time not to exceed fifteen (15) calendar days of
such notice to determine if the dispute may be resolved. If such senior management
personnel are unable to resolve the dispute within thirty (30) calendar days of such
meeting, either Party may resort to alternate dispute resolution such as mediation or
otherwise seek recourse from the courts. Either Party may seek injunctive or other urgent
equitable relief at any time.

TERM AND NOTICE

1. This Agreement shall become effective on March 4, 2024, and shali remain in effect until
June 36, 2024 or until terminated by either party in accordance with this section. Either
party may terminate this Agreement without cause by giving thirty (30) days prior written
notice to the other party of its intention to terminate. Notwithstanding any such
termination, all STUDENTS already enrolled in and participating in education
experiences at SCHOOL at the time of the notice of termination shall be given a period
of time not to exceed six (6) months from the date of the notice of termination during
which to complete their education experiences at SCHOOL.

2. Any notice given under this Agreement may be given by personal delivery, overnight air
express, email, or certified United States mail. Notice shall be deemed to be given (a)
upon actual receipt; (b) upon delivery confirmation if by email; or (c) five (5) business
days after mailing, if the notice is by United States mail, return receipt requested. Notice
under this Agreement shall be given to the parties at the following addresses or to such
other persons or places as either party may from time to time designate by written notice
to the other party.

xX. Counterparts and Electronic Signatures

1.

The SCHOOL and the UNIVERSITY may execute this Agreement in multiple
counterparts, each of which constitutes an original, and all of which, collectively,
constitute only one agreement. This Agreement may be executed electronically. An
electronic signature shall be deemed an original and fully enforceable and admissible in
any legal proceeding. Delivery of an executed counterpart signature page is an effective
as executing and delivering this Agreement in the presence of the other party to this
Agreement. This Agreement is effective upon delivery of one executed counterpart from
each party to the other party(ies). In proving this Agreement, the SCHOOL or the
UNIVERSITY must produce or account only for the executed counterpart of the party to
be charged.

MEMORANDUM OF UNDERSTANDING
Middle Colfege — Fairmont State University

This Memorandum of Understanding (MOU) is between Fairmont State University (FSU), KVC West
Virginia (KVC), Marion County Schools, (MCS), and the West Virginia Schools of Diversion and Transition
Programs (WVSDT).

The purpose of this MOU is to make clear the roles and responsibilities of all parties in the delivery of
educational and residential services of students enrolled at the Middle College at Fairmont State University.
The term of this MOU will commence with the date of the final signature and end by mutual agreement of
the parties. All parties understand that this agreement may be modified or revised through mutual consent
memorialized by written amendments.

1. Joint Responsibilities

A. All parties will collaborate on screening, acceptance, and entrance to the Middle College at
FSU.

B, All parties will comply with all applicable federal and state laws and regulations.

C. All parties will share records as needed for the Middle College at FSU and will maintain
confidentiality of the student records consistent with federal and state laws pertaining to education
records. Additional procedures may need to be developed for record sharing between signatory
parties.

2. Responsibilities of MCS

A. MCS will enroll students accepted in the Middle College as Marion County Public School
Students.

B. MCS will develop joint WVEIS procedures with WVSDT to document enrollment, attendance,
discipline, special education, and any other applicable information required by law.

Cc. MCS will collaborate with WVSDT on records sharing of all Middle College students.

D. MCS will not have any financial responsibilities to the students during the pilot year of the
Middle College. In future years, when MCS is receiving funds for special education students, MCS
agrees to reimburse WVSDT for related special education service costs for Middle College
students.

E. MCS will provide space for administering K-12 state required assessments per West Virginia
State Board Policy to applicable Middle College students.

F. Upon successful completion of the approved Option Pathway Middle College Pilot Program,
MCS will award a high school diploma to applicable Middle College students.

3. Responsibilities of WVSDT

A. WVSDT will provide funding, including salary and fringe benefits, for a special education
professional and an Option Pathway teacher.

B. WVSDT will provide resources including adequate orientation, current background check,
training, supervision, and evaluation of its personne! serving the Middle College students.

C, WVSDT is responsible for the selection and supervision of its personnel associated with the
Middle College; the MCS, KVC and FSU maintains the right to prohibit WVSDT personnel staff
fram entering onto their respective properties for violations of its policies.

D. WVSDT is responsible for compliance with all local and state labor laws, as well as
requirements of Title Vil of the Civil Rights Acts of 1964, and Title IX of the Educational
Amendments of 1972.

E. WVSDT will be responsible for implementation of special education services for students
eligible under West Virginia Policy 2419.

F. WVSDTs Education Recovery Specialists will track, gather, and maintain public educational
records of ail Middle College students.

G. WVSDT will conduct TABE assessments and share results with all signatory parties as
required by the Middle College and Option Pathway Program.

H. WVSDT will serve as liaison with the Option Pathway Office during the pilot year and thereafter
to advise all other signatory parties of changes and updates that will affect their respective
organizations.

|. WVSDT will prepare educational progress reports to include, at a minimum, Option Pathway
Progress, applicable special education information to MCS and FSU as allowable by educational
laws.

J. WVSDT will provide additional Option Pathway instruction and tutoring for all Middie College
students.

4. Responsibilities of FS

A. FSU will provide tuition, room, and board for all Middle College students.

FSU wilt provide a two-year course of study for all Middle College students that can lead to an
associate's degree upon the successful completion of all coursework.

FSU will provide tutoring services for all Middle College students.

BD. FSU will provide educational progress updates to other signatory parties of this agreement as
applicable and per state and federal law.

5. Responsibilities of KVC

A. KVC will provide residential supervision and security for all Middle College students residing in
the assigned FSU donnitory.

KVC wilt provide additional academic support for all Middle College students.
Cc. KVC will facilitate mental health services as appropriate to all Middle College students.

D. KVC wiil provide life skills training to all Middle College students.

The Public Schools In The State Of West Virginia”.

Terms of Service

This agreement made and entered into on the 9" day of April, 2024 by and between Christine Holsopple, party
of the first part, hereinafter referred to as “Service Provider” and Marion County Board of Education, 1516 Mary
Lou Retton Drive, Fairmont, WV 26554, party of the second part, hereinafter referred to as “County.”

WHEREAS, the Service Provider hereby agrees to provide consultative services to the pupil services department
in the areas of IEP training sessions, professional development on IEP writing and compliance, WVEIS 2.0 IEP
platform for report retrieval and WVDE submissions, consultation with liaisons regarding IEP compliance, training
on electronic filing systems, and DLM training.

PERIOD OF TERM: Beginning April 9, 2024, through June 30, 2024

CALCULATION OF FEES/COMPENSATION: Payment wili be made upon receipt of an itemized billing
statement documenting the date, project task, consultative meeting and/or professional development provided.
These statements shail be delivered to the Marion County Board of Education Department of Pupil Services on
a monthly basis. Fees for professional services are calculated on the time spent by the Service Provider
multiplied by the relevant hourly rate. The hourly rate is applied to all work done on the Boards behalf. The
hourly rate for Service Provider's professional service is $50.00. The contract shall not exceed the contract total
of 200 hours. The Service Provider will be compensated for travel from the central office to any schools aligned
with the LEAs compensation for travel. Services will be paid monthly from IDEA funds upon submission of
invoice.

SERVICES PROVIDED:

1. Perform all of the required services as aforementioned in an efficient and appropriate manner.

2. The Service Provider agrees to provide services and documentation aligned with those predetermined
tasks by the Supervisor of Pupil Services.

3. The Service Provider will submit a monthly mileage report from the Central Office to designated
schools. In county travel expenses will be aligned with the current rate.

4. The Service Provider will work in contact with and report all activities to the Marion County Board of
Education Supervisor of Pupil Services.


5. The Service Provider will maintain communication with the county via email and faces! face meetings
to ensure accurate timelines for projects and services. 3 “250 1

6. The Service Provider agrees to abide by the West Virginia Regulations for the Education of Exceptional
Students and the Federal Individuals with Disabilities Education Act, and any revisions or modifications
thereto.

7. The Service Provider will be responsible for maintaining appropriate confidentiality for all information.
Breaches of confidentiality will be grounds for the immediate termination of the contract.

8. THIS AGREEMENT constitutes the entire contract between the service provider and the County with
respect to services covered by the agreement and no representation or statements not expressed
herein shall be binding. The terms and conditions herein shall prevail notwithstanding any variance.

Purpose and Scope

The purpose of this Memorandum of Agreement is to set forth the terms and conditions,
scope of work and responsibilities of the parties associated with their collaboration
regarding Applied Behavior Analysis (ABA) therapy in the school system as provided by
Mountainside ABA, referred to as this project.

Mountainside ABA will provide ABA therapy on the premises of Marion County Schools,
primarily in the classroom for agreed upon student. This therapy aims to have the
following outcomes:
¢ To allow the student more access to the classroom environment, peers, adults, and
academic material by decreasing problem behaviors that are currently presenting
barriers to full involvement in his/her environment.
e To develop a safe and therapeutic environment for the student and others.
¢ To provide Marion County Schools employees (primarily teachers and aides) with
strategies and skills to create a safe environment and manage problem behaviors.
¢ To teach the student skills necessary to remain involved. 1.e. Not just behavior
reduction, but also skill acquisition with socially appropriate and adaptive skills.

Background

Both parties see the benefits of this project, have a desire to pursue this project, and have
determined that each brings unique expertise necessary to accomplish the objectives
outlined above.

Mountainside ABA has unique expertise and experience in the following areas: ABA
therapy, behavior management.

Marion County Schools has unique expertise and experience in the following areas:
education, academics, classroom management.

Mountainside ABA Responsibilities

As available based on Mountainside ABA staffing, Mountainside will be responsible for the
following aspects of this project:

1. Mountainside ABA will provide a behavior technician to be present with the student
in the classroom environment for parts of the school day/school week.

2. Mountainside ABA will provide the school with this schedule and notify of any
schedule changes as promptly as possible.

3. While present, the behavior technician will manage the student's behavior by
utilizing therapeutic strategies, as advised by a Board Certified Behavior Analyst
(BCBA).

4. The behavior technician will provide in the moment coaching to the teachers or
aides if a behavioral crisis is to arise, and the behavior technician will be the leader
during any time in which the student is engaging in problem behavior.

5. The behavior technician will teach skills to the student, or teach the Marion County
Schools employees, how to teach skills to the student so that the student can learn
socially appropriate and adaptive skills to be more involved.

6. The behavior technician’s provision of services will be supervised by a BCBA. The
BCBA may or may not be physically present in the school environment and may
Participate remotely.

7. The BCBA will determine goals, strategies, plans, etc. that the behavior technician
will then implement.

8. The BCBA will coordinate with the classroom staff at least twice monthly via a
phone call, video chat, or email.

9. At any point when requested by Marion County Schools, Mountainside ABA can
provide a written copy (electronic) of the most recent plan for skill acquisition and
behavior reduction which may include a Functional Behavior Assessment, Behavior
Plan, and Treatment Plan. Additionally, when requested, Mountainside ABA can
provide a written copy (electronic) of data collected towards goals.

10. Safety Care, a crisis intervention program, procedures can be used at the discretion
of Mountainside ABA employees. Only those certified in Safety Care can implement
these procedures. Any use of physical management in Safety Care (i.e. restraining a
student) will be documented within 24 hours of the incident and a copy of this
report will be made available to the student's school.

11, Mountainside ABA employees will maintain all licenses and professional
certifications as relevant to the provision or services

12. Mountainside ABA will conduct background checks for all Mountainside ABA
employees prior to that person being physically present on schoo! premises

13. Mountainside ABA will maintain confidentiality consistent with HIPAA guidelines.

Marion County Schools Responsibilities

Marion County Schools will be responsible for the following aspects of the project:

1. Marion County Schools will continue to provide all academic instruction.
Mountainside ABA will not provide any academic instruction, instead focusing on
adaptive skill acquisition (ex: being able to sit at a table, being able to request help,
etc.). All academic material will remain the responsibility of Marion County Schools.

2. Marion County Schools will provide a physical environment that is safe for the
student's particular needs. For example, no imminently dangerous items or
substances immediately available.

3. Marion County Schools will uphold all parts of the student’s IEP.

4. Marion County Schools wili ensure a Marion County School employee is within
eyesight of the student and Mountainside ABA representative at all times.
Mountainside ABA is not present to substitute as a Marion County Schools
employee. Instead, Mountainside ABA is present to provide additional support,
strategies, and skills.

Terms and Conditions
It is mutually understood and agreed by and between the parties that:

1. Each party takes legal and financial responsibility for the actions of its respective
employees, officers, agents, representatives and volunteers. Each party agrees to
indemnify, defend and hold harmless the other to the fullest extent permitted by law
from and against any and all demands, claims, actions, liabilities, losses, damages,
and costs, including reasonable attorney’s fees, arising out of or resulting from the
indemnifying party's acts or omissions related to its participation under this
Memorandum of Agreement, and each party shall bear the proportionate cost of any
damages attributable to the fault of such party, its officers, agents, employees and
independent contractors. It is the intention of the parties that, where fault is
determined to have been contributory, principles of comparative fault will be
applied.

2. Each party, at its sole cost and expense, shall carry insurance or self-insure to cover
its activities in connection with this MOA, and obtain, keep in force and maintain,
insurance or equivalent programs of self-insurance, for general liability, workers
compensation and business automobile liability adequate to cover its potential
liabilities hereunder.

3. This MOA may be amended annually at the start of the school year by mutual
agreement of the parties in a written modification signed by both parties.

4, This MOA may be terminated by mutual agreement of the parties, and shall
automatically terminate upon completion of all responsibilities as stated herein,
unless otherwise amended.

Funding and Costs

During this project, Mountainside ABA will be billing for the provision of services to an
external funder, most likely the student's health insurance. If the funder is unable to
provide funding for services, then the project will end. Mountainside ABA will not charge
Marion County Schools for the provision of services, nor will Marion County schools charge
Mountainside ABA for any use fees.

The parties shall each be solely responsible for any and all costs associated with their
responsibilities under this MOA.

Effective Date and Signatures

This Memorandum of Agreement shall be effective upon the date of the last party to sign this
MOA below. The parties indicate agreement with this Memorandum of Agreement by their
signatures below.
