WCBOE personnel matters may involve an Executive Session as provided
in W. Va. Code §6-9A-4(b)(2)(A) [personnel exception] and/or §6-9A-4
[matters involving attorney-client privilege per Peters v. County
Commission, 205 W. Va. 481 (1999)]. A majority of the Board members
present must vote to have an Executive Session. (No action will be taken

1. President Hall opened floor for motions. Motion by Johnita Jackson seconded by
Joann Hurley to approve the Superintendent to get a roof, property, HVAC and
other miscellaneous appraisals on the property located at the site formerly
identified as Westmoreland Middle School before the board makes a decision as
to the utilization of the property. Following discussion, motion was approved by a
Vote of 5-0.
NOTE: This item was postponed from the May 16, 2024 Board Meeting to the
May 28, 2024 Board Meeting.

1. President Hall opened floor for motions. Superintendent Alexander announced
revisions (shown below). Motion by Johnita Jackson seconded by Randy

Executive Session.
EXECUTIVE SESSION EXECUTIVE SESSION WV Code §6-9A-4
Johnita Jackson made a motion to go into executive session to discuss Annual
Assessment and Evaluation of the Superintendent’s perfomance. Joann Hurley
seconded the motion. Following discussion, motion was adopted by a Vote of
5-0. The Board under WV Code §6-9A-4 of the Code of West Virginia, went into
Executive Session at 7:15 p.m.
Motion by Johnita Jackson seconded by Joann Hurley, Vote 5-0, the Board

This Contract of Lease, made and entered into this 1st day of July, 2023, by and between
the Philadelphia United Baptist Church, whose address is Beech Fork Road, Lavalette, West
Virginia, hereinafter referred to as “Lessor”, party of the first part and the Wayne County Board
of Education, whose address is P. O. Box 70, Wayne, West Virginia 25570, hereinafter referred
to as “Lessee”, party of the second part.
WITNESSETH
That for and in consideration of the sum of $8,340.00, payable to the party of the first
part, or its assigns, by the party of the second part, annually, in advance, at the rate of
$8,340.00, beginning on the 1st day of July, 2024, and continuing one year; and the further
consideration of the performance of the covenants and agreements hereinafter stipulated to
be kept and performed by the party of the second part, the party of the first part, Lessor herein,
does hereby GRANT, LEASE, and LET unto the party of the second part the parking lot of the
Philadelphia United Baptist Church.
It is mutually agreed and understood by and between the parties hereto, and made a
part of the consideration of this Lease as follows:
FIRST: TERM OF LEASE
The term of this Contract of Lease shall automatically renew on July 1 of each year,
unless sooner terminated as hereinafter provided:
SECOND: RENEWAL TERMS
Provided that the Lessee is not in Default under the terms of this Lease, Lessee may
renew the Term of this Lease for Two (2) additional successive One (1) year periods each a
“Renewal Period” and shail be considered part of the “Term”. To elect any Renewal Period,
Lessee shall provide Lessor with notice in writing of its election no later than sixty (60) days
prior to the end of the then existing term. This Lease shall operate during any “Renewal Term
under the same terms and conditions as during the original Term.
THIRD: PAYMENT OF RENTAL
The party of the second herein covenants and promises to make said annual rental
payments in the amount of $8,340.00 to the Lessor, at the address designated by the party of
the first part, on the first (1) day of August of each year of this Lease. In the event the party of
the second part should remain in default for a period of thirty (30) days, after regular notice of
such default has been given by Lessor that the said rental payment is due, then the party of the
first part or its authorized agents and assigns, may enter upon the property hereby demised
and retake possession thereof, without further notice to said party of the second part, and such
re-entry shall act as termination of this Lease.

FOURTH: PURPOSE OF LEASE
Lessee agrees that the leased premises shall be used by the Lessee exclusively as a
parking lot. Such use shall conform with all applicable city ordinances and state and federal
laws. No other usage of the real estate shall be allowed unless prior written consent is
obtained from the Philadelphia United Baptist Church which shall be granted or not granted at
the absolute sole discretion of the Lessor.
FIFTH: ASSIGNMENT OF LEASE
It is agreed, understood, and promised by the party of the second part, that Lessee shall
not assign, transfer, sublet this Lease, either in whole or in part, without the prior written
consent of the Lessor, or assigns, to anyone, and any attempt to assign, transfer or sublet this
Lease without consent of the Lessor is void.
SIXTH: TERMINATION
Either party may, at its sole option, terminate this Lease at any time. In the event either
party chooses to exercise this option, the terminating party shall give the other party at least
thirty (30) days written notice thereof, which notice shall designate the date of termination and
the term hereof shall expire on such date.
Any termination of this Lease shall be to the entirety of the premises hereby leased,
including any and all buildings and appurtenances thereunto belonging, or in anywise or
manner appertaining thereto.
SEVENTH: RIGHT OF RE-ENTRY
Lessor reserves unto and for its self, its assigns, and Lessee hereby covenants to permit
Lessor, its agents or representatives, to enter upon the hereby demised premises at reasonable
times for the purpose of inspecting the same.
EIGHTH: TAXES
Lessor shall be responsible for, and pay any taxes whatsoever that may be assigned
against the demised premises during the term of this Lease, should for some reason, taxes by
assessed and become owing.
NINTH: INSURANCE
Lessee shall provide Lessor with an insurance certificate within thirty (30) days of the
commencement of this Lease.
TENTH: BREACH AND WAIVER
This Lease is made on the condition that the Lessee shall perform all of the covenants
and agreements herein set forth to be performed by Lessee. If at any time there be default on
the part of the Lessee in the payment of the rent, or if there shall be default on the part of the
Lessee in the performance or observance of any of the remaining covenants and agreements

hereof by Lessee to be performed and observed, and such default shall be continued for a
period of thirty (30) days after written notice of said default being given by Lessor to Lessee,
Lessor, or its duly authorized agents, shall at any time thereafter, without further demand or
notice, and at their election, have full right to enter upon the leased premises and take
immediate possession thereof. In addition, Lessor may bring suit for and collect all rents and
other assessments and charges which shall have accrued up to the date of such entry. From the
time of such entry, this Lease and all the rights therein granted, shall become void in all intents
and purposes whatsoever.
ELEVENTH: MODIFICATION OF LEASE
This writing contains the entire agreement between the parties hereto, and neither of
the parties herein shall be in any manner bound or obligated by any contemporaneous or
subsequent agreement, unless the same be in writing, and signed by all parties hereto.
TWELTH: COVENANTS AND CONDITIONS
All of the terms, conditions, covenants, stipulations, and agreements herein contained
shall be binding upon the successors or assigns of the respective parties hereto.
