Contract Amendment

This Contract Amendment ("Amendment") is made and entered into as of 3/11/2025 by and
between Bellingham School District 501 with its principal place of business at 1985 Barkley
Boulevard, Bellingham, WA 98226 ("Party 1"), and Prime Consultants, Inc. dba Western
Solar with its principal place of business at 4326 Pacific Highway, Bellingham, WA 98226
("Party 2").

WHEREAS, Party 1 and Party 2 entered into a contract dated December 13", 2024 (the
"Original Contract");

WHEREAS, the parties desire to amend the Original Contract as set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, the parties agree as follows:

1. Amendment to Section 17.1.1.5: The parties agree to amend Section 17.1.1.5 of
the Original Contract to read as follows:

“In addition, the Contractor shall maintain an umbrella policy that provides excess
limits over the primary layer, in an amount not less than $5,606,006 $1,000,000.”

2. Effective Date: This Amendment shall be effective as of 3/11/2025.

3. No Other Changes: Except as expressly amended by this Amendment, all other
terms and conditions of the Original Contract shall remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the day
and year first above written.
