Interlocal Agreement between the Mount Vernon School District (MVSD) on behalf of the Northwest Career & Technical Academy (NCTA) and Meridian School District (MSD): HUD FY 2024 Community Project Funding Grant Award Package: B-24-CP-WA-2274 Interlocal Cooperative Agreement This Educational Cooperative Agreement ("Agreement") is entered into by and between Mount Vernon School District, herein referred to as MVSD, as the Host District of the Northwest Career & Technical Academy, herein referred to as NCTA, and Meridian School District herein referred to as MSD, both political subdivisions of the State of Washington. Purpose The purpose of this Agreement is to provide a mechanism for flow through dollars through reimbursement from the federal directed spending request initiated by NCTA intended to support the infrastructure startup of Whatcom County Skill Center located at the Meridian School District property. Terms This Agreement shall commence on September 1, 2024, and continue through December 31, 2025. This Agreement may be renewed for an additional year upon mutual written agreement by the parties based on the expenditure of funds. MSD Rights and Responsibilities MSD will plan and execute the infrastructure components up to $850,000 in support of Phase 1 of the Whatcom County Skills Center located on the Meridian School District property. The reimbursement will be subject to items included in the federal guidelines. MSD will invoice NCTA for these funds. MSD will maintain adequate staff for the project and will maintain adequate insurance. NCTA Rights and Responsibilities NCTA will provide support through a consultancy role for the WCSC infrastructure project. Monetary Payment NCTA shall flow through the $850,000 (less indirects) through invoices specific to this project. Monitoring NCTA will monitor the project progress throughout the project through monthly meetings which will include reviewing reports and performing site visits. Rights and Responsibilities of All Parties Compliance with Rules and Laws: The parties shall comply with all laws, ordinances and regulations of governmental bodies applicable to the Program as well as applicable local policies and procedures. Nondiscrimination/Anti- Harassment In the performance of this Agreement, the parties assure compliance with the Mount Vernon School District non-discrimination policy. Indemnification/Hold Harmless/Duty to Defend Each party to this Agreement is responsible for the acts and omissions of its own officers, employees, agents, and volunteers. Each party agrees to defend, indemnify, and hold any other party harmless from and against any claim, demand, suit, or cause of action that may be asserted against the Indemnitee.
