Included in the grant is an annual subaward of $25,000 to Grantee so that the partnership may build its capacity to engage in the Network. This subaward is made subject to acceptance of the conditions specified in this Grant Award Agreement. The Agreement becomes effective when it is signed by Grantee’s authorized representative and one copy of the signed original is received and signed by Education Northwest. All written correspondence to Education Northwest regarding this grant should be submitted electronically via e-mail. Please copy limitless@ednw.org on all administrative inquiries, notifications, and report submissions. This is a legally binding contract and should be reviewed carefully. Beneficiary: Sno-Isle Libraries Grantee: Oak Harbor Public Schools, Skagit Valley College Purpose: To support participation and engagement in Limitless, a Postsecondary Enrollment Learning Network Grant Term: October 1, 2024 to September 30, 2027 Grant Amount: $75,000, disbursed in $25,000 increments in December 2024, 2025, and 2026 TERMS AND CONDITIONS |. Relationship of the Parties and Administration of the Grant The relationship between the parties is one of grantor to grantee. The Grantee agrees to support the Beneficiary to engage with their partnership in the Learning Network being supported by Education Northwest’s grant. Education Northwest agrees to support the Beneficiary by providing these grant funds to the Grantee. Beneficiary and grantee agrees to commit to the following: ® Identify a core team of 4-5 members to consistently attend all Learning Network activities including the in-person convening in November 2024, and the two in-person convenings in 2025 (Spring 2025 and Fall 2025). Please note that there must be at least one representative from a K12 district and one representative from an Institute of Higher Education on your core team. Virtual learning sessions may be open to more members than those on the core team. All Learning Network activities including the convening will be designed for practitioner leaders. That includes college and career readiness district directors, higher education enrollment staff, Docusign Envelope ID: F7EA656B-A552-4F09-BA17-7799F80EB5D6 and nonprofit organizations providing advising and other college and career guidance support ® Notify Education Northwest with advance notice if representatives from the partnership are unable to attend any learning activity ® Participate in a limited set of structured and guided learning and evaluation activities (e.g., surveys, focus groups) Beneficiary and Grantee commit to submitting an MOU along with this grant agreement. Beneficiary and Grantee agree to notify Education Northwest in writing within ten (10) business days of Beneficiary and Grantee becoming aware of a significant change in program or organizational direction or leadership, including the transition of any members of the Core Team participating in the Learning Network as part of this funded project. ll. Narrative and Financial Reporting Requirements Grantee agrees to keep complete and accurate records of revenues and expenditures relating to this grant in accordance with legal requirements under current tax laws. Grantee further agrees to submit narrative and financial reports to Education Northwest according to the Report Due Dates set forth in Attachment A to this Agreement. Beneficiary and Grantee will complete Narrative Reports by following the Instructions in Attachment A. Grantee agrees to contact Education Northwest at least ten (10) business days in advance of the due date if more time is needed to complete the report. Il. Expenditure of Grant Funds Grantee agrees that Education Northwest’s grant may be spent only in accordance with the terms and for the purpose(s) stated in this Agreement. Grantee further agrees to apply any earned interest from unspent funds toward the purpose of the grant. If Education Northwest determines in its sole discretion that any portion of the grant has been diverted from the purposes stated in this Agreement, Grantee agrees to repay to Education Northwest all such diverted grant funds. Further, if Education Northwest determines in its sole discretion to proceed with the grant, Education Northwest will withhold any further grant funds until Education Northwest receives adequate assurances from Grantee that no further diversion will occur and Grantee agrees to take extraordinary precautions to prevent further diversions. IV. Extension Requests and Refunds Grantee’s request for a no-cost extension of the grant should be submitted in writing. Grantee agrees to return any funds remaining at the conclusion of the project to Education Northwest. Confidentiality and Intellectual Property Rights The memos, tools and other forms of intellectual property created using this grant may be copyrighted or otherwise legally protected by Beneficiary, Grantee or by the author, according to Beneficiary’s and Grantee’s intellectual property policies. Education Northwest agrees to preserve the confidentiality, integrity and accessibility of the Beneficiary’s data that conform to their own organizational standards, state and federal regulations and best practices that Education Northwest applies to its own data. Any and all data exchanged between Education Northwest, the Beneficiary and Grantee shall be used expressly and solely for the purposes enumerated in the Agreement. Data shall not be distributed, repurposed or shared across other applications, environments, or business units of Education Northwest. Education Northwest further agrees that no Beneficiary or Grantee data of any kind shall be transmitted, exchanged or otherwise passed to other vendors or interested parties except on a case-by-case basis as specifically agreed to by the Beneficiary Organization. The Beneficiary Organization understands and agrees, however, that the broader purpose of the grant opportunity is to share plans and processes more broadly with the grant program Learning Network, and to inform the larger field of strategies to improve postsecondary enrollment rates. The Beneficiary Organization agrees to make such plans and processes available to support broader professional learning, as long as any sensitive data is de-identified. Grantee and Beneficiary Organization agree to provide to Education Northwest a non-exclusive, royalty- free, irrevocable, perpetual, worldwide license to use, publish, copy and alter the intellectual property created using this grant for non-commercial purposes in any media—whether now known or later devised—including by posting such intellectual property on Education Northwest’s website or featuring it in Education Northwest's publications. VI. Publicity, Publications and Communications Beneficiary and Grantee agree that whenever possible, published reports or research conducted using a grant from Education Northwest should acknowledge Education Northwest’s support. Prior approval of this acknowledgement is not required. Following an acknowledgement, Grantee agrees to include a disclaimer in any published report or research that advocates a point of view: “The opinions expressed in this report are those of the author(s) and do not necessarily reflect the views of Education Northwest.” Beneficiary and Grantee may acknowledge the Network as being “Managed by Education Northwest with funding support from the Bill & Melinda Gates Foundation,” but cannot state or imply that the Gates Foundation directly funds or endorses their activities, products, or services. For any communications about the grant award beyond the partnership—for instance, public forums such as meetings of a state board of education—the Beneficiary agrees to utilize materials and follow specific communications guidance that Education Northwest will provide. If Beneficiary and Grantee wish to issue a press release about this grant, Beneficiary and Grantee agree to share a draft with Education Northwest at least five (5) days before the release is to be issued. Other references to the Bill & Melinda Gates Foundation and Education Northwest in materials or public announcements, including use of logos, must be reviewed and approved by an Education Northwest representative in advance. VII. Termination Education Northwest or Grantee may terminate this Agreement. If termination occurs prior to the scheduled end date, Grantee agrees that, upon request by Education Northwest, it will provide to Education Northwest a full accounting of the receipt and disbursement of grant funds and expenditures incurred under the grant as of the effective date of termination. Within thirty (30) days after a written request by Education Northwest, Grantee agrees to remit all grant funds unexpended as of the effective date of termination. Vill. Contingency Due to Loss of Funding This Agreement is contingent upon Education Northwest receiving the annual $25,000 pass-through subaward funding from the Bill & Melinda Gates Foundation (the "Primary Funder"). In the event that Education Northwest does not receive the anticipated funding from the Primary Funder, it shall not be liable for any costs incurred by the Grantee or Beneficiary in anticipation of funding if the Primary Funding is not received or is terminated. IX. Acceptance of the Terms of Grant Award Agreement This Agreement (i) contains the entire contract between the parties with respect to this Grant and supersedes any previous oral or written understandings, agreements or contracts; (ii) may not be assigned by Grantee in any respect without the prior written consent of Education Northwest; (iii) may not be amended or modified except by an agreement in writing signed by both parties; and (iv) shall be governed by the laws of Washington, exclusive of conflicts of law’s provisions. The state and federal courts of Washington shall have exclusive jurisdiction over all disputes arising in connection with this grant, and the Grantee shall submit itself to the jurisdiction of those courts. The waiver by Education Northwest of a breach of any provision of this Agreement by Grantee shall not be construed as a waiver of any other or subsequent breach by Grantee of that provision or any other provision.
