practices and games for the 2024 football season.

and the Boone County Board of Education.

Boone Memorial in furthering its community vision and a vision to support educational needs of its communities, desires to make
a contribution to the Board, in the form of a financial contribution for the purchase of a new football scoreboard at Scott High
School. This will cover the financial costs related to the purchase and installation of a new scoreboard/video
board/truss/accompanying equipment.

MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING is made and entered into this the

day of , 2024, by and between BOONE MEMORIAL HOSPITAL, INC.,
D/B/A BOONE MEMORIAL HEALTH, hereinafter referred to as “Boone Memorial”,
STEPHENS AUTOMOTIVE LLC, D/B/A STEPHENS AUTOMOTIVE GROUP,
hereinafter referred to as “Stephens Automotive”, and THE BOONE COUNTY BOARD
OF EDUCATION, hereinafter referred to as “Board”. Boone Memorial, Stephens
Automotive and Board hereinafter referred to collectively as the “Partners”.

WHEREAS, Boone Memorial is a 501({c)(3) non-profit health care system based in
Madison, West Virginia, which primarily services patients across Boone, Lincoln, Logan,
and southern Kanawha counties. Boone Memorial includes a critical access hospital, rural
health clinics, and a substance and mental health program. In additional, Boone Memorial
offers specialty practices and ancillary services at locations throughout Boone County.

WHEREAS, Boone Memorial has always been a supporter of a wide variety of
community initiatives. Boone Memorial desires to continue serving a critical role in the
communities in which it provides services by helping those in need, partnering with
leaders for economic and educational growth and caring about the community.

WHEREAS, Boone Memorial in furthering its community vision and a vision to
support educational needs of its communities, desires to make a contribution (hereinafter
referred to as “Boone Contribution”) to the Board, in the form of a financial contribution
for the purchase of a new football scoreboard at Scott High School.

WHEREAS, the Boone Contribution will serve to cover the financial costs related
to the purchase and installation of a new scoreboard/video board/truss/accompanying
equipment (hereinafter, “Boone Upgrades’).

WHEREAS, Stephens Automotive is a West Virginia corporation, with multiple
new/used vehicle dealerships in West Virginia.

WHEREAS, Stephens Automotive has always been a supporter of a wide variety
of community initiatives. Stephens Automotive desires to continue serving a critical role
in the communities in which it provides services by helping those in need, partnering with
leaders for economic and educational growth and caring about the community.

WHEREAS, Stephens Automotive in furthering its community vision and a vision
to support educational needs of its communities, desires to make a contribution
(hereinafter referred to as “Stephens Contribution”) to the Board, in the form of a financial
contribution for the purchase of a new football scoreboard at Scott High School.

WHEREAS, the Stephens Contribution will serve to cover the financial costs
related to the purchase and_ installation of a new _— scoreboard/video
board/truss/accompanying equipment (hereinafter, “Stephens Upgrades”).



WHEREAS, the Parties desire to enter into this Memorandum of Understanding
setting forth the expectation of the Partners.

NOW, THEREFORE, ihe Partners hereby agree as follows:

Boone Memorial agrees to donate $50,000.00 as the Boone Contribution for the
Boone Upgrades.

Stephens Automotive agrees to donate $25,000.00 as the Stephens Contribution
for the Stephens Upgrades.

Scott High School will contribute $4,999.99 to accomplish the Boone Upgrades
and Stephens Upgrades (together, hereinafter, the “Upgrades), while the Board is
responsible for the costs associated with the instaliation of the Upgrades.

Boone Memorial, in exchange for the one-time Boone Contribution, for a ten year
period (beginning with the 2024 Scott High School football season) or for as long as Scott
High School is permitted to sell online streaming advertising packages via an exclusive
streaming provider, shall receive the following:

- Each home Scott High School football streaming broadcast (excluding playoffs)
shall feature a minimum of four (4) thirty (30) second commercials for Boone Memcrial.
Commercials have been or are to be produced at the sole cost and expense of Boone
Memorial and shall be provided by Boone Memorial directly to the dedicated online
streaming provider.

- The streaming broadcaster shall state, “Today’s game is presented by Boone
Memorial Health,” or such other language as agreed between Boone Memorial and the
Board in the pregame, start of the game, halftime, and game “wrap-up”.

- Lighted signage on the back of the scoreboard structure which reads “Boone
Memorial Health Field.” (Signage and installation to be paid for at Boone Memorial's cost
and expense).

- Game links posted on the Scott High School Football online social media
platforms shall feature “Game presented by Boone Memorial Health,” or such other
language as agreed between Boone Memorial and the Board.

- The Boone Memorial Health logo shall be featured on the screen graphics
through the duration of the subject stream.

- Advertisement on the bottom panel of the scoreboard shall occur, with a final
design to be prepared by Boone Memoriai and agreed to by the Board.

Stephens Automotive, in exchange for the one-time Stephens Contribution, for a
ten year period (beginning with the 2024 football Scott High School season) or for as long
as Scott High School is permitted to sell online streaming advertising packages via an
exclusive streaming provider, shall receive the following:
