MEMORANDUM OF UNDERSTANDING
Between

West Virginia University at Parkersburg (College)
And

Wood County Board of Education
WCS Management Information Systems (WCS MIS)

This agreement is to establish a partnership for the delivery of an Wood County Schools IT Learn & Earn
Workforce Initiative program.

Date of Agreement: April 14, 2025

This agreement is made by and between West Virginia University at Parkersburg (“the College”), and
Wood County Board of Education WCS Management Information Systems (WCS MIS) (Company), its
successors and assigns (“the Company”). Both the College and the Company are parties (“the Parties”)
to this Agreement.

I. Scope of Work

Whereas the College, through collaboration and support from the Company has established a
Computer and Information Science and/or Computer Science programs whereby credit is given for
work students perform as part of the cooperative towards a credential, Certificate or Associates
Degree, as a training initiative within its service region; and

Whereas, the College is interested in establishing a long-term relationship with the Company to
meet the regional demand for workforce training specific to information technology industries, by
providing training programs, cooperative education opportunities and related curricula; and

Whereas, the College has the facilities, physical space and other support services necessary to
partner with the Company and thereby facilitate educational instructions for the Computer and
Information Technology A.A.S. and/or Computer Science A.A.S. programs and related curricula; and

Whereas, this Understanding has been prepared by the College and the Company as written
indication of their mutual intention to work effectively toward the achievement of quality education
and training under the terms and conditions of affiliation compatible with both Parties and designed
to enhance the opportunities and provide educational programs by the College and the Company.

Now, therefore, in consideration of the foregoing, the Parties herby agree to the following:

Il. Responsibilities of the College

A. The College shall develop, implement and maintain the training and educational
coursework firmly based on the tasks required and high-performance standards of
the information technology industry.

B. The College shall secure and prepare facilities to deliver both cognitive (classroom
and/or online) and psychomotor (hands-on and/or laboratory) learning activities
that supports the instruction in the knowledge, skills and abilities required for
career success in this information technology industry.

C. The College shall secure and manage the appropriate staff to deliver the
instructional components of the Computer and Information Technology A.A.S.
and/or Computer Science programs.

The college shall pursue the funding opportunities to support the Computer and
Information Science A.A.S. and/or Computer Science A.A.S. programs financially.
The College will reimburse the company 50% of the intern’s base wage per the
terms of the approved WV HB3009 Learn & Earn Workforce Initiative program
funding.

The College shall lead student recruitment and enrollment efforts.

The College shall handle all inquiries and processing of financial aid requests from
prospective interns.

The College shall issue academic credit to interns who successfully complete the
Computer and Information Technology A.A.S. and/or Computer Science programs
and shall maintain a permanent transcript of such activity.

The College shall advertise the training in a printed training schedule of classes, via
the internet, and other appropriate publications prepared by the College.

The College shall maintain contact with the Company throughout the designated
HB3009 Learn & Earn Workforce Initiative program project period.

Hl. Responsibilities of the Company

A.

The Company may provide technical expertise on curricula, equipment, facilities,
instruction, intern proficiency requirements, cooperative education experience
design, and other related issues relevant to developing and maintaining the
Computer and Information Technology A.A.S. and/or Computer Science A.A.S.
programs.

The Company may assist the College in the recruitment of interns into Computer
and Information Technology A.A.S. and/or Computer Science programs by attending
recruitment events and disseminating information about the Wood County Schools
IT Learn and Earn.

The Company may assist the College in recruiting suitable staff to deliver instruction
and mentorship within the Computer and Information Technology A.A.S. and/or
Computer Science A.A.S. programs.

The Company will determine, through its budget and workforce planning
requirements, the extent of cooperative educational opportunities it will make
available for interns enrolled in the Computer and Information Technology A.A.S.
and/or Computer Science A.A.S. programs. These positions will be offered ona
competitive basis, with participation determined by criteria mutually agreed upon
and established by the Parties. Criteria for participation may include successful
passage of drug screen and background check, passing scores on other specific
entrance examination instruments, 274, 3, or 4" semester students, successfully
completed 12 credit hours, cumulative grade point average of 2.00 or higher, and
degree pursuing must be related to Wood County Schools IT Learn and Earn.

The work duration of the positions will be part-time (up to 25 hours) during Fall and
Spring semesters and full-time (up to 40 hours) during the Summer semester.
Students will become temporary employees of the Company and will be entitled to
and covered by all benefits associated with temporary employment as outlined in
the Company’s benefits programs and required coverage pertaining to worker's
compensation.


G. The Company shall be responsible for all applicable taxes, fees, and liabilities as
applies for temporary employees, observing all local and federal employment laws.

H. The Company shall provide mentoring, varied work experience, and adequate
supervision based upon the learning objectives for the duration of the Wood County
Schools IT Learn and Earn. The Company shall assist the College in evaluating the
performance of the interns by periodically reporting intern work performance
results and providing a final assessment of student achievement within the on-the-
job training portion of the Computer and Information Technology A.A.S. and/or
Computer Science A.A.S. programs.

|. The Company shall monitor and supervise intern conduct during work activities and
shall report any conduct considered inappropriate or dangerous immediately to the
College. The Company shall notify the Learn and Earn program coordinator in or if
termination of employment becomes necessary.

J. The Company shall maintain contact with the Learn and Earn program coordinator
throughout the designated HB3009 Learn & Earn Workforce Initiative program
project period and submits evaluations to Learn and Earn program coordinator on
date determined.

K. The Company shall provide a safe and healthful working environment for interns
and shall clearly establish standards for safe work practices and ensure that these
standards are communicated and enforced during intern work activities.

L. The Company will provide employment under this agreement as follows:

Hourly Wage: $15
No. of Work Hours Expected (range or specific): 1,400

M. The Company will submit an invoice to the College requesting wage reimbursement.
The scheduling will be determined between the Company and the Learn and Earn
Coordinator. The Company, however, cannot wait until the end of the project period
to invoice the College. If the Company is not reimbursed, the company
representative will contact the Learn and Earn Coordinator as soon as possible.

N. The Company is expected to hire the intern, but it is not guaranteed after intern
graduates and/or Learn and Earn program ends.

O. If intern is to graduate at any time throughout the project period the Company, if it
desires, can hire the intern and the College shall provide a new intern if there is
money left in the approved WV HB3009 Learn & Earn Workforce Initiative program.

P. The company does not discriminate on the basis of race, sex, gender identity,

IV. Agreement Term

This original Agreement shall become effective upon full execution (all signatures) and remain in
effect throughout the designated HB3009 Learn & Earn Cooperative Program project period from
May 1, 2025 to May 1, 2026.


Vv. Termination

If either Party, in their sole opinion or discretion, believes the other Party is in default of its
obligations under this Agreement, then the non-defaulting party shall provide a written notice to the
other Party requesting corrective action. If satisfactory corrective action is not taken or is not
initiated and diligently pursued within thirty (30) days from receipt of the written notice, the Party
not in default may terminate this Agreement upon thirty (30) days prior written notice.

Vi. Additional Responsibilities and Conditions

A.

In order to facilitate communication, the Learn and Earn program coordinator from
West Virginia University at Parkersburg will act as liaison for the duration of the
agreement. The liaison will be the principal contact for issues that may arise related
to student accountability and performance, or other communication that may be
necessary and critical for operational success.

It is expressly understood that the termination of the Agreement is without
obligation or penalty to other party, and that nothing contained herein shall in any
way be construed to create an agency, partnership, or joint venture relationship
between the Parties, and each party will have no power to obligate or bind the
other in any manner whatsoever.

Both Parties agrees to implement and maintain a written comprehensive
information security program containing administrative, technical, and physical
safeguards for the security and protection of customer information and further
containing each of the elements set forth in § 314.4 of the Gramm Leach Bliley
Standards for Safeguarding Customer Information (16 C.F.R. § 314). Both Parties,
further agrees to safeguard all customer information provided to it under this
Agreement in accordance with its information security program and the standards
for safeguarding customer information.
